These Terms of Service ("Terms") govern your use of software products and services provided by Rielly Group LLC ("IntegritySystems," "we," "us," or "our"), operating as IntegritySystems.io. By purchasing, downloading, installing, or using any IntegritySystems software product, you agree to these Terms.
1. Products and Licensing
IntegritySystems sells desktop software applications for Windows operating systems. Each product is licensed, not sold. Your purchase grants you a perpetual, non-exclusive license to use the version of the software you purchased, subject to the license tier you selected.
License tiers include Single User, Site, Enterprise, Consultant, and MSP Unlimited. The scope and permitted usage for each tier is defined at the time of purchase on the relevant product page. Using the software beyond the scope of your purchased license tier is a violation of these Terms.
License files are delivered digitally via email after purchase. License files are cryptographically signed and must be placed alongside the software executable to activate licensed features.
2. Trial Version
Each product offers a free trial version with limited functionality. Trial versions may impose caps on the number of files, rows, tasks, or other items processed, and may watermark output reports. No purchase or registration is required to use the trial version.
3. Payment Processing
All payments are processed by Paddle.com Market Limited ("Paddle"), our authorized reseller and Merchant of Record. By making a purchase, you also agree to Paddle's Terms of Service and Privacy Policy. Paddle handles all payment processing, sales tax, and VAT calculations on our behalf.
4. License Perpetuity and Expiration
All licenses are perpetual for the version purchased. If your license includes an expiration date, expiration only prevents activation of future software updates released after the expiration date. You may continue to use the version you purchased indefinitely, even after license expiration.
5. Offline Operation
Our software operates entirely offline. No internet connection is required for installation, activation, or operation. License validation is performed locally using cryptographic verification. No data is transmitted from your machine to our servers, ever.
6. Refund Policy
We offer a 30-day money-back guarantee on all purchases. If you are not satisfied with your purchase for any reason, contact us at support@integritysystems.io within 30 days of purchase for a full refund. No questions asked. See our Refund Policy for full details.
7. Intellectual Property
All software, documentation, evidence pack formats, report templates, and associated materials are the intellectual property of Rielly Group LLC. Your license grants you the right to use the software, not ownership of the software itself. You may not reverse engineer, decompile, disassemble, or attempt to extract the source code of any IntegritySystems product.
8. Output Ownership
All output generated by our software — evidence packs, reports, CSV files, JSON files, and summaries — belongs to you. You may use, distribute, share, and archive your output without restriction. We claim no rights to any data you process or any output generated by the software.
9. Disclaimer of Warranties
Our software is provided "as is" without warranty of any kind, express or implied. IntegritySystems tools report findings based on system data. They do not make compliance decisions, security assessments, or legal determinations on your behalf. You are responsible for interpreting the output and making decisions based on it. We do not guarantee that our tools will detect every issue, and absence of findings in a report does not constitute a clean bill of health.
10. Limitation of Liability
To the maximum extent permitted by law, Rielly Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our software. Our total liability for any claim arising from these Terms or your use of the software shall not exceed the amount you paid for the license.
11. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Palm Beach County, Florida.
12. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the software after changes are posted constitutes acceptance of the updated Terms.
